🫂 The $135 Billion Frenemy Clause
The Bite: Microsoft and OpenAI just renewed their vows — and slipped in a few prenups. Microsoft’s stake is now worth $135 billion (about 27%), but the new deal rewrites who controls what once the world’s first “AGI” arrives.
Basically that means…
The partnership that built ChatGPT is also quietly planning for the day they might not need each other.
Snacks:
OpenAI becomes a Public Benefit Corp, with Microsoft backing the new structure.
Microsoft keeps exclusive model + Azure rights until AGI (aka: forever).
An independent expert panel now decides when AGI is “real.”
Microsoft can now build AGI solo or with other partners — just not using OpenAI’s secret sauce.
OpenAI can work with third parties too, but API products still have to run on Azure.
Plus: a $250 B Azure contract and a new clause letting OpenAI sell to the U.S. government.
Why it Bites: This is less “partnership” and more cold war with excellent lawyers.
Both sides want to own the pipes to whatever comes after GPT-5, but no one trusts the other to define “AGI.”
So they built in a referee (the panel), a fence (the IP clauses), and an escape hatch (Microsoft’s right to go solo).
The deal isn’t about who wins AI, it’s about…
who gets custody of the robots when they start writing better contracts than us.

The Bite: OpenAI says it’s rebuilt the house so the mission lives in the penthouse.
The new setup:
- A nonprofit Foundation that controls the for-profit (now a PBC),
- This nonprofit holds equity valued around $130B,
- They also pledged an initial $25B toward health breakthroughs and AI resilience.
They argue that commercial success and public benefit can compound each other.
Possible?
Yes.
Likely?
Nope.
Snacks:
Nonprofit parent retains control; for-profit becomes OpenAI Group PBC.
Foundation’s equity stake grows as valuation milestones hit.
First focus areas: curing disease + technical AI resilience (think security layer for AI).
Recap followed talks with CA & DE Attorneys General; governance tweaked.
This mirrors an industry refrain: “benefit humanity”—see DeepMind and Anthropic missions.
Why it bites: Everyone now promises AI “for humanity,” but the details are where power hides.
A $25B pledge is serious.
So is a $130B equity war chest.
But the same structure that funds cures can also consolidate control.
If the nonprofit truly steers and the PBC truly obeys, great;
If not, it’s philanthropy as public relations.
I’m calling it how i see it: branding with upside.
Worth cheering if the receipts keep coming.
We hope they’re for real.
We’re doubtful until the governance bites as hard as the press release.
